NFTOwer Terms of Service

Welcome to the NFTOwer Platform (hereinafter referred to as the “Platform”). These Terms of Service (hereinafter referred to as the “Terms”) constitute a legal agreement between you (hereinafter referred to as the “User”) and the Platform regarding your use of the relevant services.

Before accessing or using the Platform’s services, please carefully read and understand these Terms in their entirety. By registering an account or using the Platform, you are deemed to have agreed to comply with these Terms. If you do not agree with any provision of these Terms, please discontinue your use of the relevant services.

The Platform reserves the right to modify these Terms at any time. Updated versions will be communicated to users through notices published on the Platform. Your continued use of the services after any such update constitutes your acceptance of the relevant changes.

Account Registration and Identity Verification

To use certain services provided by the Platform, you may be required to create a personal account and provide necessary registration information, including but not limited to your email address, username, and digital wallet address. You must ensure that all information provided is true, accurate, and complete and must update such information in a timely manner when necessary.

To comply with applicable regulatory requirements, the Platform may require users to complete Know Your Customer (KYC) identity verification procedures in certain circumstances. We reserve the right to verify users’ identities or restrict the functionality of accounts that have not completed the required verification where necessary to comply with applicable laws, intermediary review requirements, or risk-control measures.

Users are responsible for properly safeguarding their account credentials, including seed phrases, private keys, and other authentication information. The Platform shall not be liable for account information disclosure, loss of assets, identity theft, or unauthorized use resulting from the User’s own actions or failure to adequately protect such information.

User Conduct

When using the Platform’s services, Users must comply with applicable laws and regulations, public order and generally accepted standards of conduct, as well as all provisions of these Terms.

Any activity that may compromise the security of the Platform, infringe upon the lawful rights and interests of others, or disrupt the normal operation of the Platform ecosystem is prohibited.

Prohibited conduct includes, but is not limited to:

• Uploading, publishing, or distributing any illegal, fraudulent, defamatory, violent, pornographic, or otherwise unlawful content, or any content that infringes the intellectual property rights of others;

• Using automated programs to register accounts in bulk, conduct transactions in bulk, or interfere with the normal operation of the Platform;

• Engaging in phishing, fraud, money laundering, sham transactions, or using the Platform to conduct unlawful financing activities;

• Impersonating another User, misusing another User’s identity, or misleading other Users;

• Deliberately circumventing Platform mechanisms or compromising the integrity or security of Platform data.

The Platform reserves the right, depending on the circumstances, to issue warnings, restrict functionality, suspend or terminate accounts, or pursue legal action against Users who violate these rules, without prior notice.

NFT Content and User Responsibilities

Users may mint, publish, or list NFTs through the Platform, provided that the relevant works are original, lawful, and do not infringe the rights of any third party.

NFTOwer does not claim ownership of content uploaded by Users. However, the Platform reserves the right to review, remove, delist, or block content that violates these Terms or applicable rules.

When publishing NFT content, Users are responsible for ensuring that:

• They own all applicable copyrights or have obtained all necessary authorizations;

• They do not publish content that violates applicable laws or regulations or is otherwise inappropriate for public distribution;

• They do not mint duplicate, fraudulent, false, or misleading works;

• They comply with the Platform’s rules regarding royalties, copyrights, and resale restrictions.

If a third party asserts a claim against content uploaded by a User, the Platform reserves the right to remove or delist such content in accordance with applicable legal procedures or based on a reasonable assessment.

Any disputes, liabilities, or losses arising from such content shall be borne by the User who uploaded it.

NFT Transactions

NFTOwer provides Users with functions for minting, displaying, purchasing, transferring, and collecting NFTs.

All transactions are automatically executed through smart contracts. The Platform does not directly participate in the transfer of assets between Users.

Transactions must comply with the following principles:

• Transactions must be voluntary, fair, and conducted in good faith;

• Once a transaction has been confirmed and executed on the blockchain, it cannot be reversed, and the Platform does not provide cancellation or refund services;

• Users shall bear any losses resulting from market fluctuations, operational errors, or delays in smart contract execution;

• Sham transactions, artificial trading-volume manipulation, market manipulation, or collusion with others to interfere with the fairness of the Platform are prohibited.

The Platform reserves the right to issue risk warnings regarding abnormal transactions, delay their execution, temporarily freeze them, and, where necessary, report relevant activities to regulatory authorities.

Fees and Payments

Certain services provided through the NFTOwer Platform may be subject to applicable fees, including but not limited to minting fees, transaction fees, listing fees, and royalty-sharing fees.

Specific fees will be determined based on information published by the Platform. By using the relevant services, the User is deemed to have accepted the applicable fee policies.

Payments must be completed through supported cryptocurrency wallets. The Platform does not support payments in fiat currency.

Users must ensure that their wallets contain sufficient balances and that their network connections are functioning properly to avoid payment failures or abnormalities in smart contract execution.

The Platform does not take custody of Users’ assets. All transactions are settled directly through blockchain networks. Users are solely responsible for safeguarding their wallet private keys and for all payment activities conducted through their wallets.

Intellectual Property Rights

The services, content, technical architecture, and interface design provided by the Platform are protected by applicable intellectual property laws and are owned by NFTOwer or its partners.

Without authorization, no individual or entity may use, reproduce, distribute, modify, adapt, or otherwise exploit such materials.

With respect to NFT works minted and displayed by Users through the Platform, NFTOwer does not claim ownership of the copyrights. The relevant rights remain with the original creators.

By uploading a work to the Platform, the User represents and warrants that they possess the lawful copyright or other necessary rights to such work and authorize the Platform to display, store, and facilitate on-chain transactions involving the work within the scope permitted by applicable laws and regulations.

If a third party asserts a rights claim regarding content uploaded by a User, the Platform reserves the right to suspend the display of such content and cooperate with relevant investigations. Any resulting legal liability shall be independently borne by the User.

Privacy and Data Protection

NFTOwer is committed to protecting the security of Users’ data and their privacy rights. The Platform collects only the data necessary to provide its services and manages such data in accordance with applicable laws.

The Platform undertakes to:

• Not sell, improperly disclose, or misuse Users’ personal information;

• Use encryption and decentralized technologies to protect Users’ identity and asset-related data;

• Comply with data-processing obligations required under applicable laws and regulations, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA);

• Not provide User data to third parties without the User’s explicit authorization or unless required by law.

By using the Platform’s services, the User agrees that NFTOwer may collect and use their information to the extent necessary to ensure the proper functioning of the Platform and to optimize its services.

Disclaimer and Limitation of Liability

As a decentralized digital asset service platform, NFTOwer provides technical support and transaction infrastructure only. The Platform makes no representations, warranties, or guarantees regarding User-generated content, Users’ transaction intentions, market performance, or investment outcomes.

All activities undertaken by Users on the Platform, including but not limited to purchasing, selling, or holding NFTs and participating in curation activities or community governance, are based on the User’s own judgment and are undertaken at the User’s own risk.

The Platform shall not be liable for:

• Technical issues such as blockchain network congestion, delays, or smart contract execution failures;

• Loss of assets resulting from the User’s own operational errors or disclosure of account or wallet information;

• Problems, losses, or infringements caused by third-party services, including wallets and bridge protocols;

• Market fluctuations, changes in NFT values, or liquidity risks;

• Impacts resulting from changes in national regulatory policies or legal restrictions.

To the maximum extent permitted by applicable law, the Platform shall not be liable for any indirect, incidental, or special damages arising from or related to the use of its services.

Governing Law and Termination

The interpretation, enforcement, and dispute resolution of these Terms shall be governed by the applicable laws of the jurisdiction in which the Platform is established.

If the country or region in which a User is located imposes specific legal requirements, the User shall be responsible for complying with such applicable laws and regulations.

The Platform reserves the right to terminate part or all of its services at any time without prior notice, including suspending or terminating accounts and services where a User violates these Terms, engages in unlawful activities, or compromises the security or stability of the Platform.

Users may discontinue their use of the Platform’s services at any time, remove wallet-binding information, or cease interacting with the Platform.

Following termination of the services, Users shall remain responsible for all actions undertaken and obligations incurred during their use of the Platform.

If any provision of these Terms is determined to be invalid or unenforceable, such determination shall not affect the legal validity or enforceability of the remaining provisions.

These Terms constitute the entire agreement between the User and NFTOwer regarding the use of the Platform and are legally binding upon both parties.
